Support, and Deployment with our General Terms and Conditions - Ensuring Clear Agreements and Seamless Collaboration

1. Acceptance of Terms

By engaging with us, including accessing our services, software/product support, and xsuite product deployment, you agree to abide by these General Terms and Conditions. If you do not agree with any part of these terms, please refrain from using our services.

2. Services and Offerings

  • 2.1 Software/Product Support: Our software/product support services are designed to address technical issues, provide solutions, and optimize software performance for clients. While we strive for accurate and timely support, we cannot guarantee resolution for all issues.
  • 2.2 xSuite Product Deployment: We offer xsuite product deployment services to assist clients in the efficient setup and integration of xsuite products. The scope of deployment will be defined in a separate agreement.

3. Payment and Billing

  • 3.1 Fees: Fees for services will be outlined in a separate agreement or invoice. Payment terms and methods will also be specified therein.
  • 3.2 Late Payments: Late payments may result in service disruptions or additional charges, as specified in the separate agreement.

4. Confidentiality

  • 4.1 Confidential Information: Both parties may be exposed to confidential information during the course of engagement. Each party agrees not to disclose or use any confidential information without explicit consent, except as required by law.

5. Data Protection and Privacy

  • 5.1 Data Usage: We collect and process data as outlined in our Data Protection and Privacy Policy.
  • 5.2 Client Data: You grant us the necessary permissions to access, use, and process client data to provide services effectively.

6. Intellectual Property

  • 6.1 Ownership: All intellectual property rights related to our services, software, and materials remain the property of the Company.
  • 6.2 Client Content: Any content provided by clients for software support, deployment, or other services remains the property of the client.

7. Limitation of Liability

  • 7.1 Disclaimer: We strive for accurate and reliable services, but we do not guarantee error-free or uninterrupted service. We are not liable for any direct, indirect, incidental, consequential, or special damages arising from the use of our services.

8. Termination

  • 8.1 Termination: Either party may terminate services with written notice. Fees for services rendered up to the termination date remain payable.

9. Governing Law

  • 9.1 Jurisdiction: These terms are governed by the laws of Karnataka, India, and any disputes shall be resolved in the courts of Karnataka, India.

10. Modifications to Terms

  • 10.1 Updates: We may modify these terms from time to time. Any changes will be effective upon posting on our website.
